Terms of service

These candidate terms govern the planned commercial cloud service, not the separately licensed Apache-2.0 open-source core.

1. Service

Agent Delivery Cloud provides hosted orchestration, policy, audit, and related software features. It does not promise that a third-party model, CLI, repository host, or payment provider will always be available.

2. Accounts and authority

You must provide accurate account information, protect credentials, and submit only projects, endpoints, data, and provider accounts you are entitled to use. You remain responsible for reviewing generated or delegated work before using it.

3. Plans and billing

Paid plans renew monthly until cancelled. Paddle acts as reseller and Merchant of Record for checkout, invoices, payment taxes, refunds, and payment disputes. Provider and model charges are separate and remain yours under BYOK. A failed renewal enters a 7-day grace period before paid entitlements are suspended.

4. Quotas

Plans include fixed orchestration quotas. The launch service stops additional metered operations at the plan limit; it does not create automatic overage charges. Quotas reset on the subscription renewal date and do not carry forward.

5. Changes and cancellation

An upgrade takes effect only after Paddle confirms the displayed prorated charge. A downgrade or cancellation takes effect at the end of the current paid period. Access continues through that date unless a refund, abuse suspension, or legal requirement applies.

6. Availability and preview

Private-preview features may change and carry no service-level commitment. Production commitments, if offered, will be stated in the applicable plan or enterprise agreement.

7. Liability boundary

The service coordinates requests and records evidence; it does not replace code review, testing, security review, professional advice, or operational approval. Liability limits and governing-law details require final operator review before activation.
